Legal Framework

Terms & Conditions

Effective Date: September 2026 • Governs All IISLTech Engineering Engagements

1. Acceptance of Terms

By accessing this website or entering into a Statement of Work ("SOW") with IISLTech ("Company", "we", "our"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a corporate entity, you represent that you possess the authority to bind that entity.

2. Intellectual Property (IP) Ownership

IISLTech adheres to clean, client-centric intellectual property assignment:

  • Custom Deliverables: Upon full settlement of contracted milestone invoices, all custom source code, documentation, wireframes, databases, and assets created specifically for the client become the sole and exclusive intellectual property of the client.
  • Pre-Existing Tools: General open-source libraries (e.g., React, Laravel, Flutter, PyTorch) retain their respective MIT, Apache, or BSD licenses. IISLTech grants the client an irrevocable, perpetual, royalty-free license to use any proprietary internal helper utilities embedded within deliverables.

3. Statements of Work (SOW) & Agile Delivery

All commercial engineering services are governed by individual Statements of Work defining sprint schedules, scope items, milestone acceptance criteria, and fee structures. Changes in technical scope are formally managed via written Change Requests to ensure alignment on budget and timeline impacts.

4. Client Obligations

To maintain engineering velocity, clients agree to provide timely feedback on sprint demos, designate a technical point of contact, and furnish necessary third-party API credentials, staging environment access, and domain records in accordance with project timelines.

5. Warranties & Code Quality

IISLTech warrants that all delivered software will perform substantially in accordance with documented specifications for a period of thirty (30) days following formal acceptance. During this warranty period, any reproducible code defects or bugs identified by the client will be remediated at no additional charge.

6. Limitation of Liability

In no event shall IISLTech be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of the use or inability to use deliverables, regardless of whether advised of the possibility of such damages.
